Terms and Conditions

Scope
These Terms and Conditions apply to all contracts, deliveries and services of the Eickes Gebäudesystemtechnik GmbH, hereinafter „Eickes“, to its customers.
The Terms and Conditions apply exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law, or special assets under public law.
Deviating, conflicting, or supplementary terms and conditions of the customer shall not become part of the contract unless Eickes expressly agrees to their validity in writing.
Subject of the contract
Eicke provides services in the areas of security technology, building automation, video surveillance, access control, fire alarm technology, IoT and digital security solutions, as well as related consulting, planning, supply, installation, maintenance and service work.
The specific scope of services is determined exclusively by the respective quotation, order confirmation, or an individually concluded contract.
Offers from Eickes are subject to change and non-binding, unless they are expressly marked as binding.
A contract is only concluded through written order confirmation from Eickes or through performance of the service.
Oral subsidiary agreements require written confirmation to be effective.
Prices and payment terms
All prices are net plus the applicable statutory value-added tax.
Unless otherwise agreed, invoices are due for payment within 14 days from the invoice date without deduction.
In the event of late payment, Eickes is entitled to charge default interest pursuant to § 288 BGB.
Eickes is entitled to invoice partial services separately, provided that these are economically useful to the customer.
Performance period and obligations to cooperate
Performance periods begin only once all technical, organizational, and commercial prerequisites have been clarified.
The customer is obliged to provide all necessary cooperation services in good time, in particular to ensure access to systems, buildings, and relevant information.
Delays due to a lack of cooperation extend agreed deadlines accordingly.
Retention of title

Retention of title
Delivered goods remain the property of Eickes until all claims arising from the business relationship have been paid in full.
The customer is obligated to handle goods subject to retention of title with care and to protect them against access by third parties.
Warranty
Eickes shall be liable without limitation in cases of intent and gross negligence as well as in the event of injury to life, body, or health.
In cases of ordinary negligence, Eickes shall be liable only for breach of essential contractual obligations and limited to the foreseeable damage typical for this type of contract.
Liability for indirect damages, consequential damages, or loss of profit is excluded to the extent permitted by law.
Liability under the Product Liability Act remains unaffected.
Liability
The statutory warranty rights apply unless otherwise specified below.
In the event of material defects, Eickes shall have the right to subsequent performance at its own discretion.
Defects must be reported in writing immediately upon discovery.
Eickes assumes no warranty for improper use, incorrect operation, or interventions by third parties.
Software, cloud and digital systems
Provided that Eicke provides software, cloud services, or web-based platforms, use shall be permitted within the contractually agreed scope.
Eicke does not owe permanent availability, but rather availability customary in the industry.
The customer is responsible for compliance with data protection requirements within their own area of responsibility.
Privacy
Eickes processes personal data exclusively within the framework of the applicable data protection laws.

Confidentiality
Both parties undertake to keep confidential all confidential information obtained in the course of the cooperation.
This obligation shall continue to apply even after termination of the contractual relationship.
Reference citation
Eickes may mention the customer and the project as a reference in an appropriate manner, provided this does not conflict with the customer’s legitimate interests.
Jurisdiction and applicable law
The law of the Federal Republic of Germany applies exclusively, excluding the UN Convention on Contracts for the International Sale of Goods.
The place of jurisdiction for all disputes is the registered office of Eickes, provided that the customer is a merchant.
Final provisions
Should individual provisions of these Terms and Conditions be invalid, the validity of the remaining provisions shall remain unaffected.
Changes and amendments to these Terms and Conditions must be made in writing.
